Terms of Service

1. The service

KŌDŌ is a software-as-a-service platform, operated by Kodo Yachts LLC (a Florida limited liability company, "we"), that helps crewed yachts manage vessel operations, maintenance, guest preferences, and AI-assisted knowledge retrieval. The service is provided via web browser and as a Progressive Web App.

Access requires a paid subscription (for vessel operators) or an invitation from a vessel operator (for crew and guests). Pricing and subscription terms are set out on our pricing page or in a separate order agreement.

2. Accounts and access

• You must be at least 16 years old to create an account
• You are responsible for keeping your login credentials secure
• You may not share your account or create accounts on behalf of another person without their knowledge
• Vessel operator accounts are responsible for the activity of crew and guests they invite
• We may suspend or terminate accounts that violate these terms or that we reasonably believe are used fraudulently

3. Acceptable use

You agree not to use KŌDŌ to:

• Upload or transmit unlawful, harmful, or fraudulent content
• Reverse-engineer, scrape, or extract data from the service at scale
• Circumvent security controls or access data belonging to other vessels or users
• Treat the Brain as a substitute for professional maritime, medical, or legal advice, it is an operational tool
• Transmit spam or unsolicited communications through the messaging features

4. Guest data and consent

Guest preference data (dietary needs, allergies, personal preferences) is collected directly from guests with their explicit consent. Vessel operators and crew may only access this data for operational purposes related to the guest's charter. It must not be used for marketing, profiling, or any purpose beyond delivering the charter experience.

Allergy and medical data is safety-critical. Crew are responsible for ensuring this information is acted upon appropriately. KŌDŌ surfaces the data but cannot guarantee it has been read or acted upon; that responsibility lies with the vessel operator.

5. AI features

KŌDŌ uses large language models (including Anthropic Claude and OpenAI embeddings) to power the Brain. These features:

• Generate responses based on documents and data you provide; they have no real-time awareness of your vessel's actual state
• May occasionally produce inaccurate, outdated, or incomplete responses
• Are not a substitute for professional seamanship, navigation training, or medical advice
• Log queries and responses for operational review by vessel operators

You are responsible for verifying AI-generated responses before acting on them, particularly for safety-critical decisions.

6. Subscriptions and payment

Vessel operator access requires a paid subscription. Fees are billed in advance on a monthly or annual basis. Payment terms, pricing, and refund policies are detailed on the pricing page and in any order confirmation.

We may change pricing with 30 days' notice to active subscribers. If you do not accept the new pricing, you may cancel before it takes effect. Crew and guest accounts are free and included in the vessel operator's subscription.

7. Intellectual property

Your content

You retain ownership of all content you upload (documents, photos, vessel information). By uploading content, you grant us a limited licence to store, process, and display it for the purpose of providing the service to you, and to create de-identified, aggregated data from it, with all information that identifies you, your vessel, and your people removed, which we may use to operate, improve, and benchmark the service. We never sell or share data that identifies you, your vessel, your crew, or your guests.

Our platform

The KŌDŌ platform, design, code, and branding are owned by us. You may not copy, reproduce, or distribute any part of the platform without written permission.

8. Limitation of liability

To the maximum extent permitted by law, KŌDŌ is provided "as is" without warranty of any kind. We are not liable for:

• Loss of data, revenue, or profit arising from use of the service
• Decisions made based on AI-generated content
• Personal injury or property damage arising from maritime operations, regardless of whether KŌDŌ was used in planning them
• Service interruptions beyond our reasonable control

Our total liability for any claim arising from use of the service shall not exceed the amount you paid us in the 3 months prior to the claim.

9. Termination

You may cancel your account at any time. On cancellation, vessel data is retained for 30 days and then permanently deleted. Guest profiles owned by individual users are not deleted on vessel cancellation, guests retain control of their own profiles.

We may terminate accounts that violate these terms, with or without notice depending on severity.

10. Governing law

These terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, unless you are a consumer in a jurisdiction with mandatory local consumer-protection laws that supersede this clause.

11. Changes to these terms

We will give you at least 30 days' notice of material changes by email. Continued use of the service after the effective date constitutes acceptance.
